/5. Liability of the Parties

/5.1. If the Receiving Party fails to fulfil any confidentiality obligations undertaken under this Agreement and to ensure the implementation of given guarantees, it shall be obliged to pay to the Disclosing Party penalty of the amount defined on the List of Confidential information (Appendix No 1 to the Annex „Annex No. 1 to the Non-Disclosure Agreement „List of Confidential information of (Company Name)““). The amount, mentioned in this Article, shall be held minimum loss incurred by such infringement of the Agreement. If the amount, mentioned in this Article, does not cover all loss incurred by the infringement, the Receiving Party shall cover such additional loss, which has not been covered by the stated amount, within 1 (one) calendar month from the date of receipt of the Disclosing Party’s written notice. The payment of the stated amount or / and incurred loss does not exempt the Receiving Party of the further execution of any obligations arising under this Agreement. Both Parties acknowledge that any disclosure, use or misappropriation of Confidential Information in violation of this Agreement may cause both parties irreparable harm, the amount of which may be difficult to ascertain, and, therefore, agrees that the Disclosing Party shall have the right to apply to a court of competent jurisdiction for an order restraining any further disclosure or misappropriation and for such other relief as both parties shall deem appropriate. Such right of Disclosing Party is in addition to the remedies otherwise available to Disclosing Party at law or in equity.

/5.2. The Receiving Party acknowledges that any of the amounts, stated on List of Confidential information (Appendix No 1 to the Annex „Annex No. 1 to the Non-Disclosure Agreement „List of Confidential information of (Company Name)““) are reasonable, the Receiving Party does not and shall not dispute (contest) the amount of it and it has been discussed and confirmed between the Parties.

Нет, эти эмаунты ни хуя не ризонабл, а подсовывающие под подпись такое - пидары каких мало и работать с ними не надо.

Даже гипотетически, допустим, я бы убедил их изменить документы для подписи. Пидарами бы они от этого быть не перестали, а золотое правило гласит так: зачем работать с пидарами, если можно - с нормальными людьми.
